2. Description of Services

Digital SEO Services provides professional digital marketing solutions including: On-Page SEO Services, Off-Page SEO Services, Technical SEO, Local SEO, Ecommerce SEO, Google Ads (PPC) Management, Social Media Marketing, AI Automation, CRO services, and WordPress Development. Specific service details and deliverables will be outlined in individual service agreements.

3. Client Responsibilities

You agree to: provide accurate and complete information when using our services; maintain the security of your account credentials; comply with all applicable laws and regulations; cooperate with our team in a timely manner; pay all fees as agreed; and not use our services for any illegal or unauthorized purpose or violate third-party platform terms (e.g., Google, Facebook).

4. Payment Terms

Fees for our SEO packages and other services are outlined in your service agreement. Payments are due as specified. Late payments may result in suspension of services. All fees are non-refundable unless otherwise stated in your service agreement.

5. Intellectual Property

All content, logos, and materials on our website are owned by Digital SEO Services and are protected by copyright and intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission. You retain ownership of all content you provide to us. By providing content, you grant us a license to use, reproduce, and modify it as necessary to perform our digital marketing agency services.

6. No Guarantees

While we strive to deliver results, we do not guarantee specific rankings, traffic increases, or revenue outcomes. SEO and digital marketing involve variables beyond our control, including search engine algorithm changes and competitor actions.

7. Limitation of Liability

To the maximum extent permitted by law, Digital SEO Services shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the total fees paid by you in the six months preceding the claim.

8. Indemnification

You agree to indemnify and hold Digital SEO Services harmless from any claims, damages, or expenses arising from your violation of these Terms, your use of our services, or your violation of any third-party rights.

9. Termination

Either party may terminate a service agreement with written notice. Upon termination, you will pay for all services provided up to the termination date. Digital SEO Services reserves the right to terminate services immediately for violation of these Terms.

10. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. Any legal action shall be brought exclusively in New York County, New York.

11. Force Majeure

Digital SEO Services shall not be liable for any delay or failure to perform resulting from causes outside our reasonable control, including natural disasters, war, terrorism, acts of government, or internet service provider failures.

12. Entire Agreement

These Terms, together with any service agreements or proposals, constitute the entire agreement between you and Digital SEO Services, superseding any prior agreements.
